INTRODUCTION SERVICES AGREEMENT
This Agreement is made on [Date] between:
Resourced Exchange Limited (Company No. 15641515), registered at 15 Adey Road, Lymm, WA13 9QX (“Resourced”),
and,
[Company Name] (Company No. []), registered at [Address] (“the Company”).
1 Definitions
1.1 “Introduction” means the act of Resourced communicating to the Company the identity or contact details of another business that may wish to enter into discussions relating to the provision or use of engineering resources or services. An Introduction shall be deemed to occur when such information is first provided, whether orally, electronically or in writing
1.2 “Introduced Party (Parties)” refers to any two of companies whom that Resourced have provided a “Introduction” between.
1.3 “Transaction” means any hours expended or service given by a Company to any “Introduced Party” for which there is an agreement for the party receiving the services to reimburse the Company providing the resource or service.
1.4 “Resource” means a individual with specific skills, ability or assets to undertake required services in accordance with a “Transaction”
1.5 “Rate” refers to the hourly cost agreed to be paid to any “Introduced Party” for the provision of their time or Service.
1.6 “Fee” means the agreed fee payable to Resourced Exchange Limited over the “Rate”
2 Purpose
2.1 Resourced provides a service to facilitate Introductions between companies seeking to collaborate and share engineering Resources. This agreement stipulates the terms under which any such Introduction is made and the responsibilities between the parties.
3 Nature of Service
3.1 The role of Resourced in to make an Introduction between the Company and compatible companies to meet any identified Resource requirement.
3.2 Following any such Introduction Resourced shall are not involved in, or will have responsibility for any subsequent negotiation, contracts or payments between the Introduced Parties, Unless explicitly agreed otherwise.
3.3 The Company acknowledges that despite best endeavours Resourced does not verify or guarantee the capability, solvency or capacity of any party introduced.
4 Fees
4.1 Company agrees to pay Resourced a subscription of £_____ per annum for access to their services.
4.2 Company agrees to pay a Introduction Fee of £____ for every hour booked by a Resource between the Introduced Parties.
4.3 The Fee shall be in addition to any hourly rate as agreed by the Introduced Parties and be payable by the Client organisation in any Transaction.
4.4 Resourced reserves the right to alter the Fee payable for new Introductions. For existing introductions the Fee may alter to a maximum of 5% per annum.
5 Liability
5.1 Resourced shall not be liable for any loss, damage, or expense (including indirect or consequential loss, loss of profits, or reputational damage) arising out of or in connection with:
- any contract, transaction, or engagement between the Company and an introduced party; or
- any act or omission of an introduced party.
5.2 The Company agrees that Resourced’s total liability under this Agreement shall not exceed the total Introduction Fee paid by the Company.
6 Confidentiality
6.1 Each party agrees to keep confidential any non-public information received from the other in connection with this Agreement, except as required by law.
7 Governing Law
7.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
8 Entire Agreement
8.1 This document constitutes the entire agreement between the parties regarding the introduction services and supersedes all prior understandings or discussions.
